1. Definitions
In these Terms & Conditions (“Terms”):

“Customer” means any individual, company, or organization purchasing or receiving goods or services from the Company.

“Goods” means all ground support equipment (GSE), parts, or materials supplied by the Company.

“Services” means maintenance, repair, inspection, overhaul, calibration, or any related service performed by the Company.

“Contract” means any agreement or purchase order between the Company and the Customer for the supply of Goods and/or Services.
2. Scope of Agreement
These Terms apply to all quotations, sales, and service agreements provided by the Company.
No other terms, conditions, or representations shall apply unless expressly agreed in writing by the Company.
3. Quotations & Orders
3.1 All quotations are valid for 30 days from the date of issue unless otherwise stated.
3.2 Orders are subject to acceptance in writing or with a purchase order by the Company.
3.3 The Company reserves the right to refuse any order at its sole discretion.
3.4 Any modifications to an accepted order must be agreed to in writing.
3.5 By placing an order, whether verbally, in writing, or electronically, the Customer confirms acceptance of and agreement to these Terms & Conditions in full.
4. Prices & Payment
4.1 All prices are exclusive of taxes, duties, and delivery charges including crating services (if needed) unless stated otherwise.
4.2 Payment terms are on a proforma invoice basis, unless otherwise agreed in writing.
4.3 The Company retains ownership of all Goods until full payment has been received.
5. Delivery & Risk
5.1 Delivery dates are estimates only and not guaranteed.
5.2 The Company shall not be liable for delays due to causes beyond its reasonable control, including supplier delays, transportation issues, or force majeure.
5.3 Risk passes to the Customer upon delivery or collection, whichever occurs first.
6. Service & Maintenance
7.1 Services are carried out with reasonable skill and care, in accordance with industry standards.
7.2 The Company may use new, used, or reconditioned parts as deemed appropriate.
7.3 The Company provides a 30 day warranty on service workmanship unless otherwise stated.
7.4 The Customer must report defects in writing within the warranty period; otherwise, all claims are waived.
7.5 Where repair services are provided, the Customer must ensure the site is ready, safe, and compliant with all applicable regulations.
7.6 Any delays or additional costs arising from site inaccessibility, safety violations, or unpreparedness shall be chargeable to the Customer.
7. Warranty on Goods
8.1 Goods supplied are warranted against defects in materials or workmanship for 3 Months for used equipment unless otherwise stated. For New equipment, we will follow the manufacturer's recommended warranty.
8.2 The warranty does not cover normal wear and tear, misuse, improper maintenance, or unauthorized repairs.
8.3 The Company’s liability under this warranty is limited to repair, replacement, or refund (at its discretion).
8. Returns & Cancellations
9.1 Goods may not be returned without prior written authorization.
9.2 Returned Goods must be unused and in original packaging.
9.3 A restocking fee of up to 10% of the total order fee will be applied for returned goods.
9.4 Cancellations of confirmed orders are subject to approval and will incur a 10% of the total order fee for materials or work already performed.
9. Limitation of Liability
10.1 To the fullest extent permitted by law, the Company’s liability shall not exceed the total contract value.
10.2 The Company shall not be liable for indirect, incidental, or consequential damages, including loss of profit, downtime, or data loss.
10.3 Nothing in these Terms excludes liability for death or personal injury caused by negligence.
10. Compliance & Safety
11.1 The Customer is responsible for ensuring that all Goods and Services are used in compliance with applicable aviation and safety regulations.
11.2 The Company shall not be liable for any non-compliance arising from Customer modifications or misuse.
11. Confidentiality
All technical, commercial, or operational information disclosed by the Company shall remain confidential and may not be shared with third parties without prior written consent.
12. Intellectual Property
All designs, drawings, technical data, and documentation remain the intellectual property of the Company unless otherwise agreed in writing.
13. Force Majeure
The Company shall not be liable for failure to perform any obligation due to events beyond its reasonable control, including but not limited to natural disasters, war, labor disputes, or government restrictions.
14. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, and any disputes shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
17. Entire Agreement
These Terms, together with any written quotation or order confirmation, constitute the entire agreement between the parties and supersede all prior representations or agreements.
